Delivery Terms

Delivery terms help define the allocation of transport-related costs, risks and responsibilities. The contract should clearly state the named place and the version used alongside the selected rule.

Understanding Incoterms® 2020

The ICC Incoterms® 2020 framework includes 11 trade terms. The choice of rule is assessed alongside transport mode, delivery point and the responsibilities of each party.

Rules by transport mode

Transport modeRule codes
Any mode or combination of transport modesEXW, FCA, CPT, CIP, DAP, DPU, DDP
Sea and inland waterway transportFAS, FOB, CFR, CIF

The difference between DAP and DPU

They differ in responsibility for unloading at the destination: under DPU the seller unloads, while under DAP the buyer is responsible. The delivery point should be clearly defined in the contract.

What to check in the contract

  • The selected rule, named place or port, and Incoterms® version.
  • The delivery and risk transfer point, transport and insurance arrangements.
  • Customs formalities, loading and unloading responsibilities.
  • Payment terms and other sales conditions.

How delivery terms differ from payment terms

Incoterms® addresses delivery arrangements; it does not determine payment due dates or transfer of ownership. These matters should be set out separately in the sales contract.
